Terms of Service

1. Scope

These Terms of Service apply to all contracts between Determin UG (haftungsbeschränkt) (hereinafter "Determin UG" or "we") and its customers (hereinafter "User") for the use of the online service Scriber - including our web application and Android mobile app.

2. Conclusion of Contract

  1. The presentation of services in the web application is not a legally binding offer, but an invitation to submit an order.
  2. By completing the registration process, the User submits a binding offer to conclude a usage agreement.
  3. The contract is concluded when we accept the offer by activating the account.

3. Services

  1. Scriber provides tools for audio recording, transcription and further processing (e.g. segmentation, summarisation) via web application and Android mobile app.
  2. The concrete functionality results from the current service description on our website and app store listings.
  3. We operate the service either (a) as a cloud SaaS on EU servers, (b) in an on-premise variant at the customer's site, or (c) via our Android mobile app. The type of deployment is contractually agreed.

3.1 Android Mobile App

The Scriber Android app provides:

  • Audio recording directly on the device
  • Import of existing audio files for transcription
  • Transcription via our cloud servers
  • Summarisation and protocol generation
  • Export of transcripts in various formats

The app requires an active internet connection for transcription services and protocol generation. Local recording is possible offline, but transcription and protocol generation require server connectivity.

  1. Minimum term for on-premise deployments
    For on-premise deployments, unless otherwise agreed in the individual contract, a minimum term of 12 months from provisioning applies. Ordinary termination before the end of this period is excluded.

    After expiry of the minimum term, the contract is automatically extended by a further 12 months unless either party terminates it in writing with three months’ notice to the end of the term.

5. User Obligations

  1. The User undertakes not to upload any illegal content and to comply with applicable law when using the service.
  2. Access credentials must be kept confidential. Disclosure to third parties is prohibited.
  3. In case of misuse, we reserve the right to block accounts.
  4. The User is obliged to verify the data (transcripts, protocols, summaries) for accuracy and completeness and to review the results independently before further use. We do not guarantee the accuracy or completeness of such content.

6. Rights of Use

  1. We grant the User a simple, non-transferable right to use the service for its own purposes.
  2. Results (transcripts, etc.) are exclusively available to the User.

7. Prices & Payment

Scriber is currently available as a free demo version.

On-premise licence fees are calculated individually based on functionality and number of users and are, unless otherwise agreed, payable annually in advance. The prices and payment periods stated in the individual contract apply.

Android App Subscriptions: There are currently no costs for using Scriber on the Android app.

8. Liability

  1. We are liable without limitation for intent and gross negligence as well as under the provisions of the Product Liability Act.
  2. In case of slight negligence, we are liable only for the breach of essential contractual obligations (cardinal duties) and limited to the typical, foreseeable damage.
  3. We accept no liability for third-party content or automatically generated transcripts unless we are at fault.

9. Warranty

The service is continuously developed. As long as the service is marked as beta, there is no claim to a specific availability or function.

Transcripts, protocols and summaries automatically generated by Scriber may contain errors. The User is obliged to review the results before further use. We do not guarantee the accuracy or completeness of such content.

10. Availability

We aim for an average annual availability of 99 % (cloud variant). Maintenance windows are, where possible, planned outside peak usage times.

11. Termination

  1. The contract is concluded for an indefinite period and may be terminated by either party at any time with effect at the end of the current calendar month.
  2. The right to extraordinary termination for good cause remains unaffected.

12. Right of Modification

We reserve the right to change these Terms with effect for the future. Users will be informed at least 30 days before they take effect. If the User does not object within this period, the changes are deemed accepted.

13. Final Provisions

  1. German law applies with the exclusion of the UN Sales Convention.
  2. Place of performance and exclusive place of jurisdiction is Berlin, insofar as legally permissible.
  3. Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.

14. Lead Notification Sign-Up

If you provide your contact details via the “Stay informed” form, you consent to us contacting you once regarding product availability. We store your name, email address and optional company in a secure mailbox and delete them after notification or upon request.

15. Contact Form

When you submit an enquiry via our website’s contact form, we collect your name, email address, the content of your message and your consent acknowledgement. We use this information exclusively to process and respond to your request. The legal basis is Art. 6(1)(b) GDPR. Your data will not be passed on without your consent and will be deleted once your enquiry has been fully resolved.

16. Android App Specific Terms

  1. App Store Compliance: The Scriber Android app is distributed via Google Play Store. By downloading and using the app, you also agree to Google Play's Terms of Service.

  2. Device Permissions: The app requires certain permissions (microphone, storage, notifications) to function. You can manage these permissions in your device settings.

  3. Account Deletion: You can request deletion of your account and associated data directly within the app or by contacting [email protected]. Account deletion will remove all cloud-stored data associated with your account.

  4. App Updates: We may release updates to improve functionality or address security issues. We recommend enabling automatic updates.

  5. Offline Functionality: Audio recording works offline, but transcription requires an active internet connection.
